Hi!

I just bought this motherboard and AMD Athlon X4 840 (AD840XYBJABOX.

But it does not work. 

Can i do something with it, or just change moteherboard or cpu?

Could You take a look for the sticker on the BIOS chip?
What version does it have?

The Athlon II X4 840 i supported since BIOS 1.40:

I have highlighted the BIOS chip on this image, so You can find it more easily.

If Your BIOS is any number bellow 1.40 - You have to flash it with a older and supported
CPU/APU to get it to work.
*Or You can mail ASRock TSD, and they will ship You a new BIOS chip with the latest BIOS!*

If Your BIOS is 1.40 or up - You are good to procedure to the next step.

So, do You have installed an motherboard post-speaker? If Yes, do You hear any beep sounds?

Could You write down all of the components that You use?

Is Your dedicated graphics card installed in the PCI-e slot?
If not - You must - the Athlon II X4 840 does not have an on-board GPU.
If yes - You must connect Your monitor cable to the dedicated GPU, not to the on-board connectors.

Let me know if You need some more help.

My BIOS version 1.40
Videocard is Palit GeForce 9800gt 1Gb ddr3
RAM Kingston KVR1333D3N9/2G X2

My monitor cable connected to the dedicated GPU.
When i put memory card to the first slot speaker beeps 3 times, in second slot no beeps and no videosignal on monitor.

3 short beeps?

It could be a bad RAM.

Clean up the DIMM slots with a tooth-brush, and the RAM connectors with an eraser-rubber.
